Terms of Service for Event Coordination (B2B GTC)
1. Scope and Applicability
These Business-to-Business General Terms and Conditions ("B2B GTC") govern the contractual relationship between App-VenTur ("Company," "we," "us," or "our") and corporate clients, business entities, or organizations ("Client," "you," or "your") booking team building events, corporate workshops, CH-AMPIONS challenge events, and physical group activities (collectively, the "Event Services").
By signing an event contract, confirming a written proposal, or submitting an online event booking, the Client agrees to be legally bound by these B2B GTC. Any conflicting or supplementary terms of the Client shall not apply unless explicitly accepted by App-VenTur in writing.
2. Quotations, Booking & Contract Formation
Custom proposals, quotations, and event estimates provided by App-VenTur are non-binding unless explicitly marked as binding, and remain valid for 30 calendar days from issuance.
A legally binding event contract is established upon the occurrence of either:
- Written confirmation (via signed agreement or confirmation email) by the Client accepting an App-VenTur proposal, or
- Receipt by App-VenTur of the required initial deposit payment.
3. Deposit Payments & Payment Schedule
Payment terms for B2B event bookings are structured as follows:
- Initial Deposit: A non-refundable deposit equal to 30% of the total contracted event price is required within 10 business days of booking confirmation to lock in dates, event facilitators, and venue arrangements.
- Final Balance: The remaining 70% balance is due no later than 14 calendar days prior to the scheduled event date.
- Short-Notice Bookings: For events booked fewer than 14 calendar days before the event date, 100% of the total contracted fee is due immediately upon booking.
- Late Payment: Payments not received by the specified due date incur interest at a rate of 5% per annum pursuant to Swiss law. App-VenTur reserves the right to withhold event execution without liability if payments are in default.
4. Participant Headcount Adjustments
Initial pricing estimates are calculated based on the preliminary headcount provided by the Client at booking.
- The Client must submit the final guaranteed participant headcount in writing no later than 7 calendar days prior to the event date.
- If the actual number of participants on the event day exceeds the confirmed headcount, additional participants will be invoiced at the applicable pro-rata rate.
- Reductions in participant numbers communicated within 7 days of the event date will not reduce the contracted total price.
5. Cancellation, Rescheduling & Fees
The Client may cancel or reschedule an event by delivering written notice to App-VenTur. Cancellation fees are calculated as a percentage of the total contracted event price based on the date notice is received:
Client Cancellation Schedule:
- More than 30 calendar days prior to event: Refund of all payments made minus the 30% non-refundable deposit and any non-recoverable third-party expenses already incurred by App-VenTur (e.g., non-refundable venue deposits, custom gear).
- 14 to 30 calendar days prior to event: 50% of the total contracted event price is payable.
- Fewer than 14 calendar days prior to event: 100% of the total contracted event price is payable (no refunds).
Rescheduling Requests:
Client requests to reschedule an event must be submitted in writing at least 21 calendar days prior to the original event date. Rescheduling is subject to App-VenTur facilitator and venue availability. A 15% administrative re-booking fee, plus any non-recoverable third-party expenses, will apply to rescheduled dates.
6. Weather Contingencies & Outdoor Events
App-VenTur team building activities (such as CH-AMPIONS Challenge) frequently involve outdoor components. Events are planned to operate under normal outdoor conditions, including light rain or cool weather. Participants are expected to wear appropriate outdoor attire and footwear.
- Indoor Backup Location: For outdoor events, an indoor backup venue or contingency plan must be agreed upon during event planning. In case of inclement weather, App-VenTur will execute the event at the agreed indoor backup venue or adapt challenge formats.
- Severe Weather Hazards: In the event of extreme, hazardous weather conditions (e.g., severe thunderstorms, lightning, flood warnings, extreme gale-force winds) rendering outdoor participation dangerous:
- If no indoor backup is feasible, App-VenTur and the Client will reschedule the event to a mutually agreed date within 6 months at no additional re-booking fee.
- Subjective client discomfort or minor rain does not constitute severe weather hazards and does not entitle the Client to cancel without standard cancellation fees.
7. Force Majeure
Neither party shall be held liable or deemed in breach of contract for any delay or failure in performance resulting from events beyond their reasonable control ("Force Majeure"), including but not limited to severe natural disasters, extreme weather catastrophes, epidemics, government restrictions or orders, acts of terrorism, civil unrest, or destruction of third-party event venues.
In the event of Force Majeure, App-VenTur will work in good faith with the Client to reschedule the event within 12 months. If rescheduling proves impossible, prepaid amounts minus non-recoverable third-party costs will be credited to the Client for future services.
8. Physical Activity, Risk & Liability Waiver
Important: App-VenTur events involve active physical participation, interactive movement, and outdoor challenges. Please read this liability limitation carefully.
A. Physical Demands and Personal Responsibility
The Client is responsible for informing all participating employees and attendees of the physical nature of the activities. Participation in all challenges, games, and events is strictly voluntary. Individual participants are responsible for assessing their own health and physical fitness before engaging in activities.
B. Pre-existing Conditions
Participants with pre-existing injuries, physical limitations, severe allergies, pregnancy, or medical conditions (e.g., cardiac issues) must notify event facilitators prior to activity commencement and refrain from high-exertion challenges.
C. Limitation of Injury Liability
To the maximum extent permitted under Swiss law (in particular Art. 100 Swiss Code of Obligations), App-VenTur, its directors, employees, contractors, and event facilitators shall NOT be liable for any personal injury, physical trauma, illness, bodily harm, property damage, loss of personal items, or financial loss sustained by participants during or in connection with the event, except in cases where such damage is directly caused by the intentional misconduct or gross negligence of App-VenTur.
D. Mandatory Participant Insurance
App-VenTur does not provide health, accident, or personal disability insurance coverage for event participants. The Client and its individual participants must ensure they maintain adequate personal health, accident, and liability insurance coverage prior to attending the event.
9. Participant Conduct & Property Damage
- Facilitator Instructions: All participants must strictly adhere to safety rules, activity guidelines, and instructions provided by App-VenTur facilitators.
- Alcohol and Impairment: Alcohol consumption prior to or during physical activity challenges is prohibited. App-VenTur facilitators reserve the right to exclude any participant exhibiting signs of intoxication, unsafe behavior, or disregard for instructions without refund or liability.
- Damage to Property: The Client is fully liable for any loss, theft, damage, or destruction of App-VenTur equipment, event props, or venue property caused by the negligent, intentional, or reckless conduct of the Client's participants.
10. Intellectual Property & Media Release
All event concepts, game mechanics, challenge designs, documentation, and training materials created by App-VenTur remain the sole intellectual property of App-VenTur.
Media Capture: During events, App-VenTur staff may take photographs or video recordings for event delivery packages, social media, and promotional materials. The Client or individual participants may opt out of promotional media usage by providing written notice to App-VenTur prior to event commencement.
11. Confidentiality
Both parties agree to treat as confidential all non-public business information, proprietary event materials, corporate team details, and commercial terms exchanged during the planning and execution of the event services.
12. Governing Law and Jurisdiction
These B2B GTC and all event agreements entered into with App-VenTur are governed exclusively by and construed in accordance with Swiss Law (Swiss Code of Obligations), excluding its conflict of law rules.
The courts of Zurich, Switzerland shall have exclusive jurisdiction over all disputes, controversies, or claims arising out of or relating to these terms or event contracts.
